1. Introduction

1.1. These Terms & Conditions ("Terms") govern your access to and use of the NutriGrab website at nutrigrab.shop and the NutriGrab mobile application (collectively, the "Platform"), operated by NutriGrab Uganda ("we", "us", or "our").

1.2. By registering an account or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1.3. NutriGrab is an agricultural marketplace that connects farmers, buyers, and agri-input suppliers across Uganda. We facilitate transactions but are not a party to the contract of sale between buyers and sellers unless expressly stated otherwise.

1.4. We may update these Terms from time to time. Continued use of the Platform after any change constitutes your acceptance of the revised Terms.

2. Registration & Accounts

2.1. To place orders or list products you must register an account. You agree to provide accurate, complete, and current information during registration.

2.2. Account access is verified via a one-time passcode (OTP) sent to your registered email address. You are responsible for keeping your email account secure.

2.3. You must notify us immediately if you suspect unauthorised use of your account. We are not liable for losses resulting from your failure to keep your account secure.

2.4. Your account is personal and may not be transferred or shared with any third party.

2.5. We may suspend or cancel your account at our sole discretion, without notice, if we believe you have breached these Terms. Where you have paid for services not yet received and have not breached these Terms, we will issue a refund.

2.6. You may request deletion of your account by contacting us at the details in section 14.

3. Buying on NutriGrab

3.1. You are responsible for reading the full product listing, including description, price, and available stock, before completing a purchase.

3.2. By confirming an order at checkout, you enter into a legally binding contract to purchase the item(s) at the listed price plus applicable fees.

3.3. All prices displayed on the Platform are in Ugandan Shillings (UGX) and are inclusive of applicable VAT (currently 18%) unless stated otherwise.

3.4. NutriGrab reserves the right to cancel an order where a pricing error has occurred, notifying you promptly and issuing a full refund.

3.5. You must be at least 18 years old to make a purchase on the Platform, or have the consent of a parent or legal guardian.

4. Selling on NutriGrab

4.1. Merchants registering a shop agree to provide accurate business information including shop name, business type, and contact details.

4.2. You are solely responsible for the accuracy, legality, and quality of the products you list. All listings must comply with applicable Ugandan laws and our content policies.

4.3. You must ensure listed products are in stock at the time of listing. Listing a product that is not available for dispatch within a reasonable time is prohibited.

4.4. NutriGrab charges a service fee of 10% on non-surplus product sales. This fee covers platform costs and payment processing. Surplus product listings are currently exempt.

4.5. You are responsible for fulfilling orders promptly upon receiving an order notification email. Failure to fulfil orders without notifying the buyer may result in account suspension.

4.6. You grant NutriGrab a non-exclusive, royalty-free licence to display your product images and descriptions on the Platform and in promotional materials.

5. Orders & Payments

5.1. Accepted payment methods are: Cash on Delivery, and PayPal. Mobile Money payment will be available in a future update.

5.2. For Cash on Delivery orders, payment is due in full to the delivery agent upon receipt of goods.

5.3. For PayPal orders, payment is processed immediately at checkout. Your order will only be confirmed once payment is verified by our system.

5.4. All financial transactions are subject to VAT at the current applicable rate. You will receive an itemised order confirmation email detailing all charges.

5.5. NutriGrab does not store payment card or PayPal credentials. PayPal transactions are governed by PayPal's own terms and privacy policy.

6. Delivery & Transport

6.1. Delivery fees are calculated based on your delivery district. Orders to Kampala and Wakiso attract a fixed rate; orders to other districts attract a regional flat rate. The applicable fee is displayed at checkout before you confirm your order.

6.2. Delivery timelines are estimates only. NutriGrab is not liable for delays caused by factors outside our reasonable control, including adverse weather, civil disturbance, or transport disruptions.

6.3. You are responsible for ensuring someone is available at the delivery address to receive the order. If a delivery attempt fails due to your unavailability, re-delivery charges may apply.

6.4. Risk in the goods passes to you upon delivery and physical receipt of the order.

7. Returns & Refunds

7.1. You may request a return within 7 days of receiving your order if the item is wrong, damaged, defective, or significantly not as described.

7.2. To initiate a return, contact us at the details in section 14 with your order reference and a description of the issue. We may request photographic evidence.

7.3. Perishable agricultural produce (fresh fruits, vegetables, and live plants) is not eligible for return unless received in a damaged or spoiled condition caused by our handling.

7.4. Approved refunds will be processed within 7 business days via the original payment method. Cash on Delivery refunds will be issued via mobile money transfer or bank transfer.

7.5. NutriGrab reserves the right to decline a return request where the goods have been used, damaged by the buyer, or where the return request falls outside the permitted window.

8. Prohibited Conduct

You agree not to:

• List or sell counterfeit, stolen, or illegal goods.
• Manipulate prices, reviews, or ratings on the Platform.
• Use automated tools, bots, or scrapers to access the Platform without our written consent.
• Attempt to gain unauthorised access to any account, server, or system associated with NutriGrab.
• Post false, misleading, or defamatory content about products, sellers, or NutriGrab.
• Use the Platform to send unsolicited communications (spam) to other users.
• Conduct transactions outside the Platform to circumvent our service fees.
• Engage in any activity that violates applicable Ugandan law or regulation.

8.1. Breach of this section may result in immediate account suspension, removal of listings, and/or legal action.

9. Intellectual Property

9.1. All content on the Platform created by NutriGrab, including the logo, design, text, and software, is our intellectual property and may not be copied, reproduced, or distributed without our prior written consent.

9.2. By uploading product images, descriptions, or other content to the Platform, you confirm you own or are licensed to use such content and grant NutriGrab a non-exclusive licence to use it for operating and promoting the Platform.

9.3. If you believe any content on the Platform infringes your intellectual property rights, please notify us using the contact details in section 14.

10. Limitation of Liability

10.1. NutriGrab provides the Platform on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses.

10.2. To the fullest extent permitted by Ugandan law, NutriGrab shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Platform, including loss of profit, data, or business opportunity.

10.3. Our total liability to you for any claim arising out of these Terms shall not exceed the total amount paid by you for the relevant transaction giving rise to the claim.

10.4. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud.

11. Suspension & Termination

11.1. We may suspend or terminate your access to the Platform at any time if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.

11.2. You may terminate your account at any time by contacting us. Termination does not affect any outstanding orders or obligations accrued prior to the termination date.

11.3. Upon termination, your right to use the Platform ceases immediately. Sections 8, 9, 10, and 13 survive termination.

12. Privacy

12.1. Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12.2. By using the Platform you consent to the collection and use of your data as described in the Privacy Policy.

13. Governing Law

13.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda.

13.2. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Uganda. We encourage you to contact us first to resolve any dispute amicably before pursuing legal action.
